    Yilin Liao is a partner at Merits & Tree Law Offices. His primary practice area is investment funds, with extensive experience specializing in the full lifecycle of fund operations, including private fund manager registration, fund formation and fundraising, ongoing compliance, and fund exits. Mr. Liao has successfully advised numerous fund managers on their PFM (Private Fund Manager) registration, including the private equity subsidiary of Longhua Capital. He has provided comprehensive legal services for the establishment of multiple funds of funds (FOF) and their series of sub-funds. He has also represented various government guidance funds and insurance institutions in conducting due diligence and providing specialized legal counsel for their investments in sub-funds.

     

    In addition, Mr. Liao possesses substantial project experience in M&A and capital markets. He provides full-lifecycle legal support to startups and growth-stage companies, from incorporation to IPO, and offers professional, efficient legal solutions to investment institutions and private equity funds.

     

    Prior to joining Merits & Tree, Mr. Liao worked at Guotai Junan Securities Co., Ltd. and Sundial Law Firm for several years.

    • Advised Shenzhen Angel FOF and Hainan Free Trade Port Fund on due diligence and investment in various sub-funds.
    • Advised on the establishment of Hainan Innovation Fund of Funds, a joint venture between Shenzhen Angel FOF and Hainan Financial Holdings.
    • Advised China Merchants Bank on the transfer of partnership interests in Yiwu He Xie Jin Hong Private Equity Fund, an IDG-invested fund.
    • Provided full-lifecycle legal services to CR Capital for its Runxing Ruihua Technology Commercialization Fund (Runxing Ruihua (Shenzhen) Technology Commercialization Angel Investment Partnership (Limited Partnership)).
    • Advised on the CO-GP establishment of Shenzhen Guochuang Ruihua Qinzhi Grand Health Angel Investment Partnership (Limited Partnership), co-managed by Shenzhen Qianhai Qinzhi Capital and Shenzhen Guochuang Zhiyuan Private Equity.
    • Acted as the signing attorney for the PFM registration of Shenzhen Longhua Private Equity Fund Management Co., Ltd.
